History

In 1990 the predecessor company of today’s LHS was established as LH Specifications Projektberatungsgesellschaft mbH with headquarters in Bad Homburg by Hartmut Lademacher, Dr. Joachim Hertel, Dr. Rainer Zimmermann and others. It concentrated on the development and sale of billing and customer-care systems for providers of telecommunications services and developed the first version of the BSCS (Business Support and Control System) software.

Following a comprehensive corporate restructuring, the business operations of LH Specifications Projektberatungsgesellschaft mbH, together with the business operations of other companies, were transferred to the LHS Group Inc., Atlanta (Georgia/USA), which was established in 1995.

The shares of this Company were listed in 1997 on NASDAQ in the United States as well as the Neuer Markt of the Frankfurt Stock Exchange. In 2000, LHS Group Inc. was acquired by Sema Group plc, London (UK), and integrated into the business activities of Sema Group plc. The shares of LHS Group Inc. were then delisted in New York and Frankfurt am Main. The sales operations of the former LHS Group Inc., which had been conducted independently up to that time, were dissolved and integrated into the group-wide sales operations of Sema.

In 2001, Sema Group plc, in turn, was taken over by Schlumberger Ltd., New York (New York/USA) and its business activity was essentially continued as an independent line of business under the name SchlumbergerSema. In February 2004, private equity investor General Atlantic and LHS Beteiligungs AG, via LHS Acquisition GmbH, a vehicle established for this purpose, acquired from Schlumberger Investments Ltd. and Schlumberger S. A. the business operations in the area of development, customer-specific customisation and maintenance of billing software, including the related intellectual property rights. The largest segment of the SchlumbergerSema business operations (including sales and the project business with respect to the LHS products) were acquired from Atos Origin S. A., Paris (France, hereinafter also called “Atos Origin”).

Under the revived trademark LHS, the LHS Group, newly formed in this manner, began rebuilding its own distribution for its software products and a corresponding project business to be offered in addition to the maintenance services.

LHS Acquisition GmbH was transformed to a stock corporation (Aktiengesellschaft) under the name “LHS Aktiengesellschaft” in August 2006. Since October 25, 2006, LHS Aktiengesellschaft has been publicly traded on the official market (Amtlicher Markt) of the Frankfurt Stock Exchange.
